2. NO PURCHASE NECESSARY TO PLAY: A valid e-mail address is required to win. For purposes of these Official Rules, all times are Pacific Time (PST).

3. SWEEPSTAKES PERIOD: X10's $1000 Great Gear Giveaway Sweepstakes (the "Sweepstakes") is a monthly sweepatakes with the first entry period beginning Monday, May 1st and ending at Midnight (PST) on May 31, 2006. Then, each subsequent entry period following May will begin on the first day of every month and end at Midnight (PST) on the last day of the month. This Sweepstakes consists of one (1) Entry Period per month and one (1) prize drawing per month as defined in Section 6 and Section 8 below.

4. ELIGIBILITY: All federal, state, and local laws and regulations apply. Directors, officers and employees of X10 Ltd., X10 WTI, X10's distributors, divisions and subsidiaries, licensed retailers, registered X10 contractors, venders, and their immediate family members are not eligible to enter this sweepstakes.

5. GAMBLING PROHIBITION: This sweepstakes may not be used in connection with any form of gambling.

6. ENTRY: You can receive an entry into the Sweepstakes in the following ways:

#1 Be an Active Subscriber to X10's Email Newsletter:
Receive one entry into the Sweepstakes for each X10 email newsletter you open during during the sweepstakes period up to a maximum of one entry per day. Note, you must be able to see images in your email in order to have your email open count for sweepstakes entry.

You can sign up for X10's email newsletter by completing any of the $1,000 Great Gear Giveaway sweepstakes entry forms with your email address and answers to any other questions contained on that form. These entry forms can be found throughout X10.com or may be found on another of X10's familiy of web sites or various forms of advertising online.

LIMIT: ONE E-MAIL NEWSLETTER ENTRY PER PERSON (REGARDLESS OF WHETHER ONE PERSON HAS MORE THAN ONE EMAIL ADDRESS) OR E-MAIL ADDRESS (REGARDLESS OF WHETHER MORE THAN ONE PERSON USES THE SAME E-MAIL ADDRESS) PER DAY DURING THE SWEEPSTAKES ENTRY PERIOD. If multiple email opens are recorded by the same person or e-mail address on any given day, only one open will be accepted and one entry be counted for consideration in the Sweepstakes.

#2 Make a Purchase on X10.com:
You will receive one entry into the Sweepstakes for every dollar you spend at X10.com for the entry period that your order is placed. Dollars are rounded to the next highest amount to determine the number of entires for your order. For example, if you place an order for $100.75, you will receive 101 entries into the Sweepstakes. There is no limit to the number of entries you can receive for making purchases at X10.com. Purchases made through X10's Contractor Program are not eligible to receive entries into the Sweepstakes

#3 Tell Friends about the Sweepstakes:
You will receive one entry into the Sweepstakes for every friend you tell using the online Tell-A-Friend form contained on the Sweepstakes home page or entry confirmation pages. Simply complete and submit the Tell-A-Friend form with your e-mail address, your friend's e-mail address and a personal message if desired.

LIMIT: ONE ENTRY PER FRIEND YOU TELL (REGARDLESS OF WHETHER THE FRIEND YOU TELL HAS MORE THAN ONE EMAIL ADDRESS) OR FRIEND'S E-MAIL ADDRESS (REGARDLESS OF WHETHER MORE THAN ONE FRIEND USES THE SAME E-MAIL ADDRESS) PER SWEEPSTAKES ENTRY PERIOD. If we receive multiple friend's e-mail sent by the same e-mail address, only one will count towards an entry for consideration in the Sweepstakes.

The preceeding methods are the ONLY means allowed to enter the Sweepstakes. No faxed, mailed, e-mailed, or phoned in entries are allowed. No responsibility is assumed for any late, lost, garbled, misdirected, incomplete, or damaged entries. By entering, you grant permission to X10 WTI. to use your name and entry for publicity and promotional purposes without any compensation.

All entries must be received by X10 WTI no later than Midnight on the last day of ever month to be considered eligible for that month's sweepstakes drawing.

7. MAILING LIST: By entering the Sweepstakes, you consent to being placed on the X10.com e-mail newsletter list for promotional and other materials. If you had previously been an X10 email subscriber and removed yourself from this list, your entry into the sweepstakes will re-subscribe you to this email newsletter list. You may adjust the frequency of how often you receive the email newsletter or remove your name from this e-mail list at any time by following the instructions contained in any e-mail you receive or by sending an e-mail request to be removed to newsletter@x10.com.

8. WINNER SELECTION / PRIZE DRAWING(S): One (1) Prize winner will be selected in a random drawing to be held on or about the first Tuesday of every month during the sweepstakes term starting with Tuesday, June 6, 2006.

Winners will be notified by e-mail. X10 WTI will conduct all drawings. By participating, You agree to be bound by the Official Rules and the decisions of the X10 WTI, which shall be final and binding in all respects.

9. PRIZE(S)/APPROXIMATE RETAIL VALUE/ODDS OF WINNING: (1) Prize winner will receive a Dell Laptop Computer valued at up to Five Hundred Dollars ($500.00) and one $500 X10 Shopping Spree valued at up to Five Hundred Dollars ($500.00) in X10 branded products. Or, the winner may choose as a substitute for the Dell Laptop Computer an additional Five Hundred Dollars ($500.00) in X10 branded products and therefore receive a total of One Thousand Dollars ($1000.00) in X10 branded products. Approximate retail value of all prizes for each sweepstakes period is One Thousand Dollars ($1000.00).

Odds of winning a prize depend on the number of eligible entries received. ALL FEDERAL, STATE AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER.

10. WINNER NOTIFICATION & HOW TO CLAIM PRIZE: Winners will be notified by e-mail within 5 business of the drawing. To claim prize, winner must respond to the e-mail within 5 days from the date of notification and provide X10 WTI with all information necessary to verify their eligibility and a selection of X10 branded products up to $500 in retail value or a selection of X10 branded products up to $1000 in retail value if the winner chooses to substitute X10 products for the Dell Laptop Computer. The entire prize package must be requested at one time and processed on one order. If an amount less than $500 or $1000 in retail value is requested by the winner, the total prize value will equal that amount. The prize winner may request X10 branded products with a total order value over $500 or $1000 but any amount over the prize value would need to be paid for by winner at the time of the order. X10 WTI will attempt to deliver any e-mail prize notification returned as undeliverable a maximum of up to three times. Any prize or prize notification returned as undeliverable may result in disqualification and selection of an alternate winner. Any prize that is not claimed within 5 days of notification will be forfeited and awarded to an alternate winner.

By accepting any prize, the winner grants permission to X10 WTI to use their names and/or likenesses for publicity and promotional purposes without further compensation, unless prohibited by law, and agree to execute a written consent. In the event of a dispute about the identity of any entrant, entries made online will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person to whom an e-mail address by an Internet access provider is assigned, to an e-mail address by an Internet access provider, online service provider or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be required to provide the sponsors with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry.

11. GENERAL RELEASE: By participating in the Sweepstakes, you release and agree to hold harmless X10 WTI and any of their subsidiaries, affiliates, successors, directors, officers, employees and agencies (collectively, the "Released Parties") from any liability whatsoever for any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Sweepstakes or acceptance, possession, or use of any prize (including, without limitation, claims, costs, injuries and losses related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory.

12. INTERNET/TECHNOLOGY PROBLEMS; RELEASE; DISCLAIMER OF LIABILITY: If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of X10 WTI which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this sweepstakes, X10 WTI reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process and to cancel, terminate, modify or suspend the Sweepstakes at any time. Released Parties assume no responsibility for, and will not be liable for, any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of entries. No responsibility is assumed for lost, late, misdirected, incomplete or garbled transmissions. None of the Released Parties are in any way responsible or liable for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by X10 WTI on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation in the Sweepstakes. The Released Parties reserve the right at their sole discretion to disqualify any individual who violates these Legal Restrictions referenced herein or engages in any conduct detrimental to X10 WTI, the Sweepstakes or any other entrant (in each case as determined in X10 WTI's sole discretion) or to lock out any individual whose eligibility is in question.

13. OFFICIAL RULES / WINNERS LIST: This Sweepstakes is subject to these Official Rules. Sweepstakes entrants agree to abide by the terms of these Official Rules and by the decisions of the judges, which are final on all matters pertaining to this Sweepstakes. X10 WTI reserves the right to change these Official Rules at any time, in its sole discretion. 14. HEADERS: The section headers contained herein are provided for convenience purposes only and shall not be used to modify or interpret the terms of these Legal Restrictions.

15. SEVERABILITY: In the event that any provision of these Legal Restrictions is found invalid or unenforceable pursuant to judicial decree or decision, the remainder of the Legal Restrictions shall remain valid and enforceable according to its terms. The parties intend that the provisions of these Legal Restrictions be enforced to the fullest extent permitted by applicable law. Accordingly, the parties agree that if any provisions are deemed not enforceable, they shall be deemed modified to the extent necessary to make them enforceable.
