X10 Affiliate Agreement This Affiliate Agreement ("Agreement") describes the rights and obligations of X10.com and the Web Site Owner who has agreed to become an affiliate partner through the Commission Junction network. Affiliate (and who shall henceforth be referred to as the "Affiliate" or "you") with X10.com. By becoming an Affiliate, you agree to each of the terms and conditions as set forth below. Approval and Authority: X10.com reserves the right to reject any web site if we determine, in our sole discretion and following our review of your site, that your site is unsuitable for any reason, including, but not limited to, inclusion of content that is in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically, or otherwise objectionable, or that includes or promotes sexually explicit materials, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age. X10.com has the right in its sole and absolute discretion to reject your application, or to terminate your participation in the Program, for any reason. Payments and Reports: When you sign up with our third party affiliate tracking system Commission Junction (CJ.com), you will have access via username and password to full sales and traffic reports 24 hours a day as well your payments will be handled through Commission Junction. Commissions will not be paid if the payment source has determined one of the following problems with an order; the order is fraudulent, the customer is over there credit limit, the customers Credit card has the wrong expiration date or number or is stolen or the affiliate account is deactivated or proper ID's were not used in tracking. All Payments will be handled through Commission Junction to you our affiliate, checks will go out starting at amounts of $25.00 or more. Additional bonuses and bounties as awarded by X10.com will be paid through Commission Junction. Commission Tiers: The following commission levels are open and paid on "Qualifying Orders" (means a bone fide order that a purchaser submits via the link from your site to our shopping cart that is not returned within 30 days) to anyone who reaches sales amount displayed in the following categorical tier structure for X10.com Products.
Cookies: The X10.com cookie will be set within Commission Junction for a 30 day period; this is great news for our affiliates! What this means is web sites that send traffic through to our site through a link who return within 30 days will place an order while your cookie remains active, the tracking software will treat this as a Qualifying Order. We reserve the right to change the technology we employ to calculate commissions owed to you. Advertisements and Links: All appropriate media collateral including your affiliate tracking identification number will be generated through Commission Junction.com. Collateral for your website or emails can only be guaranteed to track properly if you retrieved it properly from Commission Junction.com. If you need assistance in setting up your links or accessing our media please contact the affiliate manager. Your Obligations: You are solely responsible for development, operation, and maintenance of the Affiliate web site(s) emails, for selecting, generating and displaying links to Advertisements on the Affiliate web site, and for all other content that appears on the Affiliate web site. You must receive approval directly from X10.com's affiliate marketing director to use www.X10.com , X10, or any variation of the X10 trademarked name thereof within any Google or Overture display URL or ad copy or any other network or other contextual ad marketing. Observe strict adherence to the following PPC (Pay Per Click) rules: You must not outbid or out position X10 ads within the PPC channel for any keyword in any search engine. Further, PPC 'jamming' of X10 is strictly prohibited. Bids must be kept below X10.com bids. Affiliates who violate PPC rules will face immediate suspension of commission payments. For a term of which is at our sole discretion to correct the offending actions of the affiliate. We reserve the right to temporarily or permanently terminate any affiliate for continued offenses. You Agree: It is expressly agreed that notwithstanding any other provision of this agreement, in the event of any claim, breach or purported breach of this agreement by X10.com, the remedy shall be limited to equitable remedies and an action at law for money damages Free Website Users Agree: If you accept the offer to use from X10.com our Website template you agree not to showcase or display third party, or other company banners - text links - images - products or descriptions. X10.com reserves the right to ask you to dismantle your website in the event of a breach of this agreement, you understand that the website is given to you free of charge to promote only X10.com products, banners and other X10.com branding initiatives. Except as expressly stated, X10.com makes no representations or warranties, whether written, oral, express or implied, regarding this agreement, the program, revenues you will receive from participation in the program, products sold through the program, (including, without limitation, warranties of fitness, merchantability, no infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage).
