Basic Terms, Conditions & Auditing Practices
At X10.com we believe the best way to
start a partnership is by discussing our expectations (for traffic
serving, frequency capping, etc…) and practices (accounting and
auditing) up front.
It is especially important, as
it is both a business (audit procedure) and operating (server loads)
requirement, that daily impressions be the equivalent of the campaign
size, divided by the number of days in the campaign.
We audit all advertising
campaigns the following way:
- We divide the total number of
impressions guaranteed per the IO, by the number of days in the
contract.
- This gives the number of impressions
per day
- We divide the total IO amount by the
number of impressions.
- We get a $$ per impression per day
based on the above.
- DAILY we compare the actual
impressions to the guaranteed amount.
- If actual is less than guaranteed we
pay for what we received.
- If actual is greater than
guaranteed, we pay only the guaranteed amount.
- Total up the cost for each day and
that gives the audited amount.
Our standard terms and
conditions are as follows:
- Our terms and conditions are the
prevailing terms and conditions for any (advertising) contract.
- Net 90-day terms for paid CPM
campaigns.
- Net 30-day terms,30 day billing
cycle after receipt of invoice, for revenue share performance based
campaigns.
- Campaign payment subject to audit
verification.
- Campaign may be cancelled by X10.com
giving written notice, due to sub-standard click-through and
conversion ratios.
- Network advertising buys will have
frequency cap limits set to our specifications.
- All impressions must originate from
traffic within North America.
- "Make good" advertising
for campaigns that fail to reach their quota, after campaign end
date, are not acceptable unless specified, in writing, by X10 WTI
- Bandwidth credits *.
- Receipt of our payment constitutes
full and final settlement for the associated invoice that is
received from the publisher/vendor.
